1. Services
Uphill Flow provides web design, website development, website maintenance, and related digital services. The scope of work for each project will be outlined and agreed upon before work begins.
2. Payments

Full payment or the agreed-upon deposit must be received before work begins.

Remaining balances must be paid according to the agreed payment schedule.

Failure to make payments may result in project delays, suspension, or termination.

All payments are non-refundable as outlined in our No Refund Policy.
3. Client Responsibilities
The client agrees to:

Provide all required content, images, logos, and information needed for the project.

Review and provide feedback within a reasonable timeframe.

Ensure they have the legal right to use any content supplied to Uphill Flow.

Communicate project requirements clearly and accurately.
4. Revisions

Each package includes a specified number of revisions.

Requests beyond the included revisions may incur additional charges.

Significant changes to the original project scope may require a new quote.
5. Project Timelines

Estimated completion dates are provided in good faith.

Timelines may be extended due to client delays, scope changes, technical issues, or unforeseen circumstances.

Uphill Flow is not liable for losses resulting from project delays.
6. Intellectual Property

The client retains ownership of content they provide.

Ownership of the completed website design and deliverables transfers to the client only after full payment has been received.

Uphill Flow retains the right to display completed projects in portfolios, marketing materials, and social media unless otherwise agreed in writing.
7. Third-Party Services
Projects may use third-party services such as hosting providers, domain registrars, plugins, APIs, or software tools.
Uphill Flow is not responsible for:

Third-party outages

Security vulnerabilities in third-party software

Pricing changes made by third-party providers

Service interruptions outside our control
8. Website Maintenance
Unless included in a maintenance plan or specifically agreed upon, ongoing updates, maintenance, security monitoring, and content changes are not included after project completion.
9. Limitation of Liability
To the maximum extent permitted by law, Uphill Flow shall not be liable for:

Lost profits

Lost business opportunities

Data loss

Indirect, incidental, special, or consequential damages
The total liability of Uphill Flow shall not exceed the amount paid by the client for the specific service giving rise to the claim.
10. Termination
Either party may terminate a project by written notice.
If the client terminates a project after work has begun:

All payments made remain non-refundable.

Any outstanding invoices become immediately due.

Work completed up to the termination date may be delivered at Uphill Flow's discretion.
11. Warranty Disclaimer
Services are provided "as is" and "as available."
While Uphill Flow strives to provide high-quality websites, we do not guarantee:

Continuous website uptime

Specific search engine rankings
-
Increased sales, traffic, or revenue
-
Compatibility with future technologies or software updates
12. Indemnification
The client agrees to indemnify and hold harmless Uphill Flow from any claims, damages, losses, liabilities, or expenses arising from:

Client-provided content

Copyright or trademark infringement by client materials

Misuse of the website by the client
13. Governing Law
These Terms and Conditions shall be governed by and interpreted under the laws of the State of North Carolina, United States, without regard to conflict of law principles.
14. Changes to These Terms
Uphill Flow reserves the right to modify these Terms and Conditions at any time. Updated versions will become effective upon publication.
